Recent Legal Developments in 2025 – Impact on MNCs and Foreign Investment

Michael Munzinger is Counsel at CMS, China. He has more than 10 years’ experience in advising foreign companies on corporate law issues in China, in particular on joint ventures, share and asset transfers, restructurings, foreign direct investment, corporate governance, as well as commercial law and related dispute resolution matters.

His extensive track record comprises the establishment of numerous foreign-invested entities, including wholly foreign-owned entities and joint ventures, cross-border and national share and asset transfers, mergers, restructuring and corporate changes, as well as advice, review and drafting of contracts and contract clauses in the commercial law area (e.g. plant contracts, delivery contracts and general terms and conditions, service contracts), advice on product liability, and advice and involvement in dispute resolution (especially arbitration).

Gilbert Shen is Counsel and Head of Tax of CMS, China. He has been practicing tax law since 2006. He is particularly experienced in tax matters concerning the establishment of efficient holding structures, company mergers and restructurings, supply chain optimization, cross-border transactions, tax due diligence and Individual Income Tax advisory and planning.

Gilbert started his career with the tax department of a Big 4 accounting firm. He is a CICPA member, CFA charterholder and a Certified Tax Agent of China.

Panpan Tang is Senior Associate at CMS, China. She has more than 10 years’ experience in advising clients in intellectual property, information technology, technology, media and telecommunications, e-commerce and data protection issues. She has provided practical advice to multinational companies on specific issues such as privacy policies, data cross-border transmission, data sharing contracts, etc. She has also supported many European companies in automotive, manufacturing, fashion, and other industries to conduct compliance checks and deploy compliance measures with regard to data and personal information security.

Dr. Ulrike Glueck is Managing Partner and Head of Corporate Practice Area Group and TMC Sector Group of CMS China.

Ulrike has been working on-site in China since 1998 and has over 27 years experience in China-related work. She has advised a large number of companies in various industry sectors in projects relating to M&A, foreign direct investment and restructuring.

Ulrike also led the team in China to win a series of awards from Legal 500, Chambers and Partners, Asian Legal Business, China Business Law Awards etc. Ulrike has been recognised as one of China’s Top Lawyers by China Business Law Journal for 8 years.
